Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Mila Auto Spares marketplace platform operated at milaautospares.co.za ("the Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must stop using the Platform immediately.

These Terms are governed by the laws of the Republic of South Africa, including the Consumer Protection Act 68 of 2008 (CPA), the Electronic Communications and Transactions Act 25 of 2002 (ECTA), and the Protection of Personal Information Act 4 of 2013 (POPIA).

2. About the Platform

Mila Auto Spares is an online marketplace that connects buyers of automotive spare parts with verified suppliers and sellers. We facilitate the listing, searching, quoting, ordering, and delivery of auto parts. Mila Auto Spares acts as an intermediary — we are not the seller of the products listed by third-party suppliers unless explicitly stated.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under South African law to use this Platform. By registering, you confirm that you meet these requirements. If you are registering on behalf of a business, you warrant that you have authority to bind that entity.

4. Account Registration

To place orders or list products, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration and keep it updated. We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

5. Buyer Terms

Ordering: When you place an order through the Platform, you are making an offer to purchase the product from the relevant seller. The order is confirmed once the seller accepts it. Prices are displayed in South African Rand (ZAR) and include VAT unless otherwise stated.

Vehicle Information: It is your responsibility to ensure that you provide accurate vehicle details (VIN, make, model, year, engine code) when searching for or ordering parts. Mila Auto Spares is not liable for incorrect parts ordered due to inaccurate vehicle information provided by you.

Payment: Payment must be made at the time of order through our approved payment methods. All transactions are processed by PCI-DSS compliant payment gateways. We do not store your full card details.

Delivery: Estimated delivery times are provided by sellers and courier partners. While we strive for accuracy, delivery times are estimates and not guarantees. Same-day delivery is available in select areas and is subject to order time and availability.

6. Seller Terms

Registration: Sellers must complete the verification process, including providing valid business registration documents, tax details, and banking information. We reserve the right to reject or remove sellers who fail verification or breach these Terms.

Product Listings: Sellers are responsible for the accuracy of their product listings, including descriptions, prices, images, fitment data, and stock levels. Listings must not contain misleading information, counterfeit products, or items that infringe intellectual property rights.

Order Fulfilment: Sellers must process accepted orders promptly, package items securely, and arrange shipping within the stated timeframe. Failure to fulfil orders may result in account suspension or termination.

Commission and Fees: Mila Auto Spares charges a commission on each completed transaction. The commission rate is communicated to sellers during onboarding and may be updated with 30 days' notice. Payouts are processed according to the agreed schedule minus applicable fees.

7. Prohibited Conduct

You may not use the Platform to:

List or sell counterfeit, stolen, or illegally obtained parts. Provide false or misleading information in listings, reviews, or communications. Manipulate prices, reviews, or search rankings. Circumvent the Platform to complete transactions off-platform to avoid fees. Harvest data, scrape content, or reverse-engineer the Platform. Engage in fraud, money laundering, or any illegal activity. Harass, threaten, or abuse other users.

We reserve the right to investigate and take appropriate action, including account suspension or termination and reporting to law enforcement.

8. Intellectual Property

All content on the Platform — including the design, logo, text, graphics, software, and compilations — is the property of Mila Auto Spares or its licensors and is protected by South African and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without written permission. Sellers retain ownership of their product images and descriptions but grant Mila Auto Spares a non-exclusive licence to display them on the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, Mila Auto Spares shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability for any claim arising out of these Terms shall not exceed the fees paid by you to Mila Auto Spares in the 12 months preceding the claim.

Mila Auto Spares does not warrant the quality, safety, or legality of products listed by sellers. We do not guarantee that any part will be compatible with your vehicle. Product warranties are the responsibility of the respective seller unless otherwise stated.

Nothing in these Terms excludes or limits liability that cannot be excluded under South African law, including the CPA.

10. Dispute Resolution

If a dispute arises between a buyer and seller, we encourage parties to resolve it directly through our messaging system. If resolution cannot be reached, Mila Auto Spares may, at its discretion, mediate the dispute. Our decision is not binding unless both parties agree.

For disputes involving Mila Auto Spares directly, the parties agree to first attempt resolution through negotiation. If unsuccessful, the dispute shall be referred to mediation, and if still unresolved, to arbitration in accordance with the Arbitration Act 42 of 1965, in Bloemfontein, South Africa.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy (POPIA), which describes how we collect, use, and protect your personal information.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you breach these Terms, engage in prohibited conduct, or for any other reasonable cause with notice. Upon termination, outstanding orders will be fulfilled or refunded. Provisions that by their nature should survive termination (including liability, dispute resolution, and intellectual property) will remain in effect.

13. Amendments

We may amend these Terms at any time. Material changes will be communicated via email or a notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after changes take effect constitutes acceptance. If you disagree with the changes, you must stop using the Platform and close your account.

14. Governing Law

These Terms are governed by the laws of the Republic of South Africa. The courts of the Free State Province, Bloemfontein, shall have jurisdiction over any legal proceedings arising from these Terms.
